By accessing or using the Precision Dental Analytics website at precisiondentalanalytics.com (the "Site"), including any interactive tools, calculators, downloadable resources, and gated content (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.
2. Description of Services
PDA provides forensic practice intelligence, benchmarking frameworks, interactive diagnostic tools, research publications, and educational content for dental practice owners, DSO operators, and M&A participants. The Site includes publicly available content, email-gated resources, and access-code-protected materials within the Intelligence Vault.
3. Calculator Tools and Financial Information
The EBITDA Leakage Calculator, Valuation Calculator, and any other diagnostic tools provided on the Site are intended for informational and educational purposes only. The outputs of these tools are estimates based on the inputs you provide and general industry benchmarks. They do not constitute financial advice, valuation opinions, or professional consulting recommendations.
These tools are not a substitute for professional financial, legal, or accounting advice. Actual practice valuations, EBITDA calculations, and exit strategies require engagement with qualified professionals who can review your specific circumstances, financial records, and market conditions. 4. Intellectual Property
All content on the Site — including text, graphics, logos, data, research publications, frameworks, tools, downloadable documents, and software — is the property of Precision Dental Analytics or its content creators and is protected by applicable copyright and intellectual property laws.
Intelligence Vault materials: Documents downloaded from the Intelligence Vault are licensed for your individual use only. PDF documents are watermarked with your email address to establish provenance. You may not redistribute, republish, sublicense, or make available any vault materials to third parties, including for the purpose of training or fine-tuning artificial intelligence or machine learning models, without prior written consent from PDA.
Blog and public content: You may share links to publicly available blog posts and research pages. You may not reproduce substantial portions of any article or research document without attribution and prior written consent.
5. User Conduct
When using the Site, you agree not to:
Provide false or misleading information in forms, calculators, or intake submissions. Attempt to gain unauthorized access to gated content, vault materials, or administrative functions. Use automated tools, bots, or scrapers to access, index, or extract content from the Site. Redistribute access codes, vault credentials, or watermarked documents. Use any content from the Site to train, fine-tune, or develop artificial intelligence or machine learning systems without written authorization.
6. Confidentiality of Submitted Data
We treat all practice financial data submitted through our calculators and intake forms as confidential business information. We will not publicly disclose, sell, or share your individual submission data with third parties. Aggregated, de-identified data may be used to improve our benchmarking models. 7. Disclaimer of Warranties
The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
PDA does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any content, including calculator outputs and benchmark data, is accurate, complete, reliable, or current. Benchmark data is derived from historical practice evaluations and industry sources and may not reflect current market conditions.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Precision Dental Analytics, its principals, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site or Services, including but not limited to financial losses, lost profits, or damages resulting from reliance on calculator outputs, benchmark data, or any content provided on the Site.

The Site may contain links to third-party websites, including LinkedIn, Calendly, and book retailers. These links are provided for convenience only. PDA does not endorse or assume responsibility for the content, privacy policies, or practices of any third-party site.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after any modification constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.
